1. Legal information and website operator
This website, together with its pages, forms, tools, portals, content, systems and related services, is referred to throughout these Terms as the “Website”.
The Website may be operated by:

In these Terms, “Provider”, “we”, “us” and “our” mean the specific company identified as the supplier or contracting party in the relevant proposal, quotation, order form, invoice, purchase confirmation, statement of work or separate written agreement accepted by the Client.
The fact that one company assists with the administration, marketing, technical support or delivery of a service does not automatically make both companies parties to the same contract. It does not create joint liability, a partnership, joint venture, agency relationship or other shared legal responsibility between Wrieves Ltd and Carlo Orlandi Ltd.
Unless expressly agreed otherwise in writing, each Service will be the responsibility of the company identified as the Provider in the applicable Specific Agreement.
2. Contact details
The applicable email domain will depend on which company is acting as the Provider.
Where Wrieves Ltd is the Provider, the relevant email address will use the domain @wrieves.com.
Where Carlo Orlandi Ltd is the Provider, the relevant email address will use the domain @carloorlandi.com.
The relevant contact addresses are:
General enquiries and formal communications
Client onboarding, documents and materials
Technical support
Billing, invoices and payments
Formal cancellation requests
The Client should use the email address corresponding to the company identified as the Provider in the relevant Specific Agreement, proposal, invoice or purchase confirmation.
Where the applicable Provider is unclear, the sender may contact both corresponding addresses. Sending a communication to the incorrect company does not, by itself, make that company a party to the relevant contract or transfer responsibility from the actual Provider.
3. Scope and acceptance of these Terms
These Terms govern:
access to and use of the Website;
the submission of forms, enquiries, applications, requests or materials;
the request, purchase or use of Services;
access to portals, systems, accounts or tools provided by us;
the use of demonstrations, content, resources and materials made available through the Website; and
the use of cookies and similar technologies.
By accessing or using the Website, submitting a form, requesting a proposal, creating an account, making a payment, electronically accepting a document or signing an agreement, the user confirms that they have read and accepted the provisions that apply to them.
Accessing the Website alone does not automatically create a contract for the provision of Services.
A contract for Services will only be formed when there has been valid acceptance of a proposal, quotation, order form, statement of work, purchase confirmation, service agreement or other contractual document.
A person acting on behalf of a company, organisation, partnership, association or other entity confirms that they have sufficient authority to enter into a binding agreement on behalf of that entity.
Users must be at least 18 years old or otherwise have the legal capacity required to enter into a binding contract in their jurisdiction.
4. Definitions
For the purposes of these Terms:
“Business Client” means a person or entity purchasing Services wholly or mainly for purposes connected with their trade, business, profession, occupation or organisational activities.
“Client” means the individual, business, organisation or other entity requesting, purchasing or receiving Services.
“Client Content” means any text, image, recording, database, trade mark, logo, document, instruction, data, contact information, customer list, credential or other material supplied by or on behalf of the Client.
“Consumer” means an individual acting wholly or mainly for purposes outside their trade, business, craft or profession.
“Deliverables” means the specific work, materials, configurations, systems or outputs agreed in a Specific Agreement.
“Provider” means either Wrieves Ltd or Carlo Orlandi Ltd, depending on which company is identified as the contracting supplier.
“Services” means any service, system, product, licence, configuration, consultation, digital solution or other work agreed with the Client.
“Specific Agreement” means any accepted proposal, quotation, order form, service agreement, statement of work, purchase confirmation, subscription agreement or other contractual document between the Client and the Provider.
“Third-Party Platform” means any software, website host, telecommunications provider, advertising platform, payment processor, artificial intelligence provider, calendar system, CRM, messaging platform, domain registrar, integration or external service that is not owned and controlled exclusively by the Provider.
5. Priority of the Specific Agreement
The particular terms applying to each Client relationship will be established in the relevant Specific Agreement.
These may include:
the scope of the Services;
Deliverables;
project milestones;
implementation dates;
duration;
minimum commitments;
fees;
taxes;
payment arrangements;
renewals;
third-party costs;
permitted usage;
usage limits;
revisions;
support arrangements;
cancellation;
refunds;
termination;
intellectual property rights; and
any additional responsibilities of the parties.
If there is any conflict between contractual documents, the following order of priority will apply unless expressly stated otherwise:
the Specific Agreement;
any statement of work or schedule expressly incorporated into the Specific Agreement;
these Terms; and
general, descriptive or promotional information published on the Website.
Advertising, demonstrations, social media content, informal conversations, sales discussions and general explanations will not amend a Specific Agreement unless the amendment is confirmed in writing by an authorised representative of the Provider.
Nothing in these Terms excludes any statutory right or legal protection that cannot lawfully be excluded.
6. Nature of the Services
Depending on the applicable Specific Agreement, the Services may include:
website design, development and configuration;
website hosting and maintenance;
landing pages and digital sales funnels;
customer relationship management systems;
business process automation;
artificial intelligence chatbots;
website chat widgets;
artificial intelligence voice agents;
telephone answering systems;
appointment booking systems;
calendar integrations;
email marketing systems;
SMS and messaging systems;
customer follow-up automation;
reputation management systems;
review request systems;
lead generation systems;
lead qualification and management;
digital marketing strategy;
business strategy consultancy;
advertising campaign support;
customer acquisition systems;
sales process development;
digital-first business systems;
artificial intelligence solutions;
content development;
graphic design;
workflow automation;
customer service systems;
consultancy and advisory services;
technical support;
implementation services;
training and documentation;
digital products, templates and resources; and
any other service agreed in writing.
The inclusion of a service in this list does not mean that it is included in every contract.
Only the Services expressly described in the Specific Agreement are included in the Client’s purchase.
7. Proposals, quotations and demonstrations
Website descriptions, examples, demonstrations, sample systems, templates and promotional materials are provided for general information only.
A proposal or quotation may be subject to:
availability;
technical assessment;
confirmation of project requirements;
receipt of Client Content;
acceptance of a Specific Agreement;
receipt of the required payment;
availability of Third-Party Platforms;
identity or business verification;
telecommunications verification;
compliance review; and
technical, commercial or security checks.
Unless otherwise stated, a proposal may be withdrawn or amended before acceptance.
Any estimated date provided before all required information, access credentials and Client Content have been received will be provisional.
8. Client responsibilities
The Client agrees to:
provide complete, accurate and current information;
provide required text, images, credentials, documents and materials promptly;
appoint an authorised person to make decisions and provide approvals;
review and approve content, designs, scripts, workflows, configurations and Deliverables;
respond to reasonable requests within five working days, unless another period is specified in the Specific Agreement;
maintain independent copies and backups of important information;
use the Services lawfully;
protect account credentials and authorised devices;
report suspected unauthorised access or security incidents promptly;
obtain all necessary licences, permissions, consents and legal authorisations;
ensure that its products, advertising, communications and commercial activities comply with applicable law;
pay any charges or third-party costs for which it is responsible; and
cooperate reasonably with the Provider.
Any delay caused by the Client may automatically affect the estimated delivery date.
The Provider will not be responsible for delays, errors, omissions or adverse results caused by:
incomplete information;
inaccurate instructions;
conflicting instructions;
delayed approvals;
missing access credentials;
failure to respond;
late delivery of Client Content; or
changes requested by the Client.
Where a project remains inactive because of the Client, the Provider may suspend, reschedule, archive or reactivate it in accordance with the Specific Agreement.
9. Client Content, databases and contact lists
The Client confirms that it has all rights, permissions and lawful authority required to provide and use the Client Content.
The Client is responsible for:
the accuracy of its content;
the legality of its content;
commercial representations and claims;
descriptions of its products or services;
its prices, promotions and terms;
copyright permissions;
image, video, music and font licences;
trade mark permissions;
the legality of customer and prospect databases;
the lawful collection of contact details;
consent records;
suppression lists;
unsubscribe records;
advertising compliance;
consumer protection compliance;
the conduct of its employees, agents and representatives; and
instructions provided to the Provider.
The Client must not use the Services to:
send unlawful spam;
make misleading communications;
contact individuals without an appropriate lawful basis;
impersonate another person or business;
make discriminatory decisions unlawfully;
publish false reviews;
deceive customers; or
carry out prohibited or unlawful activities.
10. Email, SMS, calls and other communications
Where the Services involve telephone calls, artificial intelligence voice agents, SMS, email, instant messaging, recordings, transcriptions or automated communications, the Client is responsible for determining and complying with the laws applicable in every relevant country or jurisdiction.
This may include responsibility for:
obtaining consent for calls or messages;
maintaining evidence of consent;
respecting opt-out requests;
respecting suppression lists;
respecting “do not call” requirements;
correctly identifying the sender;
including required contact details;
providing unsubscribe mechanisms;
informing individuals when calls are recorded or transcribed;
obtaining required recording consent;
using permitted communication times;
avoiding misleading caller identification; and
avoiding aggressive, deceptive or unauthorised communications.
The Provider may assist with the technical configuration of communications systems but does not guarantee that a campaign, customer list, script or process supplied or approved by the Client complies with the laws of every jurisdiction.
The Client should obtain independent legal advice where required.
11. Artificial intelligence and automated systems
Some Services may use:
artificial intelligence;
machine learning;
large language models;
speech recognition;
voice synthesis;
automated content generation;
automated routing;
automated decision processes; or
third-party artificial intelligence systems.
The Client acknowledges that these systems:
may make mistakes;
may misunderstand instructions;
may generate incomplete or inaccurate information;
may provide inconsistent outputs;
may depend on Third-Party Platforms;
may be affected by outages or updates;
may not respond appropriately in every situation;
require appropriate human supervision; and
should not be treated as infallible.
The Client must review and approve:
scripts;
knowledge bases;
frequently asked questions;
booking rules;
system prompts;
escalation procedures;
availability settings;
prices;
service descriptions;
emergency instructions; and
integrations.
Artificial intelligence Services must not be used as a replacement for emergency services.
They must not be used as the sole source of medical, legal, financial or other regulated professional advice unless the Client has implemented all legally required safeguards and professional oversight.
The Client remains responsible for business decisions made using artificial intelligence outputs.
12. Artificial intelligence voice agents
Artificial intelligence voice agents may be configured to:
answer calls;
respond to questions;
collect information;
qualify enquiries;
book appointments;
check availability;
transfer calls;
send follow-up messages; or
perform other agreed functions.
The Provider does not guarantee that an artificial intelligence voice agent will:
understand every accent or expression;
interpret every request correctly;
respond appropriately to every situation;
identify every emergency;
produce error-free transcriptions;
complete every call;
achieve a particular conversion rate;
generate a specific number of appointments; or
remain uninterrupted at all times.
The Client must provide clear instructions for:
human escalation;
emergencies;
complaints;
sensitive enquiries;
payment-related enquiries;
transfers;
out-of-hours enquiries; and
situations the system should not handle.
Pricing decisions, binding contractual commitments, professional diagnoses, legal representations and other high-risk decisions must not be delegated exclusively to an automated system.
13. Reviews and reputation management
Reputation management Services may help the Client request, collect, monitor or manage customer feedback.
The Provider does not guarantee:
that a customer will leave a review;
that a review will be positive;
that a platform will publish or retain a review;
a particular number of reviews;
a particular search engine position;
an improvement in rankings;
increased revenue;
increased visibility; or
any specific commercial result.
The Client must not use the Services to:
publish false reviews;
purchase fabricated reviews;
impersonate customers;
suppress genuine negative reviews unlawfully;
manipulate review platforms;
condition services improperly on positive feedback; or
provide incentives in a misleading manner.
14. Marketing and commercial results
The Provider will deliver the Services with reasonable care and skill but does not guarantee a particular financial or commercial outcome.
The Provider does not guarantee:
revenue;
profit;
sales;
customer numbers;
leads;
appointments;
conversions;
return on investment;
advertising reach;
search rankings;
campaign approval;
email delivery;
SMS delivery;
telephone number approval;
telecommunications verification;
account approval; or
continued availability of a third-party account.
Commercial outcomes may depend on matters outside the Provider’s control, including:
market demand;
competition;
the Client’s reputation;
the Client’s offer;
pricing;
customer service;
availability;
response times;
sales follow-up;
geographical location;
advertising budget;
Client Content;
platform policies;
customer behaviour; and
economic conditions.
Testimonials, case studies, examples and demonstrations describe particular circumstances and do not constitute promises of future results.
15. Third-Party Platforms
The Services may depend on Third-Party Platforms, including:
domain registrars;
website hosting providers;
CRM providers;
telecommunications companies;
telephone number providers;
SMS providers;
email platforms;
artificial intelligence providers;
calendar platforms;
payment processors;
advertising platforms;
social networks;
analytics providers;
mapping services;
video conferencing platforms;
automation providers; and
integration services.
Third-Party Platforms may impose their own:
terms;
policies;
acceptable use requirements;
verification procedures;
prices;
limits;
restrictions; and
compliance requirements.
The Provider does not control and will not be responsible for:
outages;
price changes;
removal of features;
rejected verifications;
account suspensions;
account closures;
API changes;
loss of compatibility;
message filtering;
carrier policies;
email filtering;
external security incidents;
platform policy changes; or
decisions made by third parties.
Where a Third-Party Platform is required, the Client must comply with its terms and maintain the relevant account in good standing.
Responsibility for domain fees, hosting, messages, telephone minutes, email usage, licences, advertising costs, payment processing fees and other external charges will be determined in the Specific Agreement.
16. Accounts, access and security
The Client is responsible for:
keeping credentials confidential;
restricting access to authorised persons;
using secure passwords;
maintaining appropriate device security; and
promptly removing access for unauthorised or former users.
The Client must not:
share credentials insecurely;
allow unauthorised access;
attempt to access another Client’s account;
bypass security controls;
copy protected system configurations;
introduce malware;
conduct penetration testing without written permission;
overload systems; or
use the Services in a way that harms other users or systems.
The Provider may suspend access where there is a reasonable suspicion of:
fraud;
unlawful activity;
security risk;
unauthorised access;
non-payment;
contractual breach; or
harm to systems or third parties.
Unless expressly agreed otherwise, a managed Service does not automatically provide the Client with full administrative access to:
internal workflows;
master accounts;
templates;
prompts;
system architecture;
reusable automation;
proprietary configurations;
internal tools; or
Provider infrastructure.
17. Review, approval and launch
The Client must review the Deliverables and report any material error within the review period stated in the Specific Agreement.
Approval may occur when the Client:
confirms approval in writing;
provides electronic approval;
asks for the Deliverable to be published;
begins using the Deliverable; or
fails to identify a material error within the agreed review period.
Requests made after approval may be treated as additional work.
Before launch, the Client must check:
names;
contact information;
opening hours;
prices;
booking availability;
service descriptions;
terms;
policies;
links;
forms;
integrations; and
commercial information.
The Client remains responsible for the accuracy of information approved for publication.
18. Fees, billing and taxation
Fees, payment dates, currency, billing cycles, tax treatment, minimum terms, renewals and payment methods will be stated in the Specific Agreement.
The Client authorises recurring payments only where such authorisation forms part of the accepted Specific Agreement or checkout process.
The Client must:
maintain a valid payment method;
pay all undisputed amounts when due;
notify the Provider promptly of billing errors;
pay taxes and charges for which it is responsible; and
maintain accurate billing information.
The Provider may suspend Services where payment is overdue.
Suspension does not remove the Client’s obligation to pay amounts properly due.
Before initiating a chargeback or payment dispute, the Client should contact the relevant billing address:

[email protected], where Carlo Orlandi Ltd is the Provider.
This provision does not remove any statutory right available to the Client.
19. Cancellations, termination and refunds
There is no universal cancellation or refund policy applying to every Service.
The terms relating to:
cancellation;
minimum contract periods;
notice periods;
renewal;
early termination;
refunds;
credits;
deposits;
initial payments;
personalised work;
setup work;
third-party costs;
completed work;
outstanding charges; and
the consequences of termination
will be governed by the applicable Specific Agreement accepted by both parties.
Formal cancellation requests must be sent in writing to the relevant cancellation address:
[email protected], where Wrieves Ltd is the Provider; or
[email protected], where Carlo Orlandi Ltd is the Provider.
The request must contain sufficient information to identify:
the Client;
the relevant company;
the affected Service; and
the applicable contract.
The effective cancellation date will be determined by the Specific Agreement.
The following actions do not, by themselves, constitute valid cancellation:
ceasing to use the Service;
removing a payment card;
cancelling a direct debit;
failing to respond;
closing a third-party account; or
preventing a payment from being collected.
Where the Specific Agreement does not provide for a refund, any refund will be at the Provider’s discretion unless the Client has a mandatory legal right to one.
Nothing in these Terms limits the statutory rights of a Consumer.
Where a Consumer has a legal right to:
cancel;
receive a refund;
require repeat performance;
obtain a price reduction; or
exercise another statutory remedy,
that right will be respected.
Where a Consumer expressly requests that Services begin during a statutory cancellation period, the Consumer may be required to pay a proportionate amount for Services supplied before cancellation.
Where legally permitted, the statutory cancellation right may end once the Service has been fully performed, provided the Consumer gave the required express consent and acknowledgement.
Business Clients do not have an automatic consumer cancellation right unless this is expressly included in the Specific Agreement or required by law.
20. Suspension or termination by the Provider
The Provider may suspend or terminate a Service where:
payment is overdue;
the Client materially breaches the contract;
fraud is suspected;
the Service is used unlawfully;
there is a security risk;
a Third-Party Platform requires suspension;
continuing the Service could create legal liability;
the Client supplies unlawful or infringing content;
the Client behaves abusively towards staff or contractors; or
performance becomes impossible because of external circumstances.
Where reasonable, the Provider will notify the Client and provide an opportunity to remedy the breach.
No remedy period will be required where there is:
an immediate security risk;
unlawful activity;
fraud;
a serious threat;
abusive conduct; or
another serious breach.
The financial, technical and operational consequences of termination will be governed by the Specific Agreement and applicable law.
21. Data export and deletion following termination
The availability of:
exports;
migration support;
domain transfers;
copies of files;
data extracts;
call records;
contact records;
message histories; and
system configurations
will depend on the Specific Agreement, technical capability and the policies of Third-Party Platforms.
The Client should request any required export before termination or within the period stated in the Specific Agreement.
After termination, information may be:
deleted;
anonymised;
archived; or
retained
where reasonably necessary for legal, tax, accounting, security, contractual or dispute-resolution purposes.
Deletion of access, accounts or data may prevent the Service from continuing to operate.
22. Client intellectual property
The Client retains the rights it lawfully owns in the Client Content.
The Client grants the Provider a limited, worldwide, non-exclusive licence to:
use;
copy;
host;
process;
transmit;
display;
technically modify; and
adapt
Client Content only to the extent reasonably necessary to provide, administer, secure, maintain or improve the contracted Services.
This licence will continue for as long as reasonably necessary to perform the Services and meet legal or contractual obligations.
The Client confirms that the Provider’s authorised use of Client Content will not infringe the rights of any third party.
23. Provider intellectual property
Unless a Specific Agreement expressly provides for an assignment of rights, the Provider retains all rights in:
methods;
processes;
knowledge;
strategies;
software;
pre-existing code;
reusable code;
libraries;
components;
templates;
workflows;
automations;
prompts;
documentation;
systems;
configurations;
design frameworks;
training materials;
internal tools;
technical architecture; and
general improvements.
Delivery of a website, system, automation or configuration does not automatically transfer ownership of all underlying components.
Ownership, licensing and usage rights relating to customised Deliverables will be determined in the Specific Agreement and may be conditional upon full payment.
Third-party components will remain subject to the relevant third-party licence.
Outputs created using artificial intelligence may not be exclusive. Similar or identical outputs may be generated for other users.
24. Portfolio use
Unless a confidentiality agreement or written restriction applies, the Provider may:
identify the Client by its trading name;
display non-confidential elements of the work;
refer to the general nature of the project;
include screenshots in a portfolio;
prepare a case study; or
refer to the project in presentations or promotional materials.
The Provider will not intentionally disclose:
passwords;
sensitive personal information;
confidential databases;
private customer records;
trade secrets;
non-public financial information; or
confidential business strategies.
The Client may request in writing that the project not be displayed before any portfolio material is published.
25. Confidentiality
Each party must protect confidential information received from the other party and use it only for purposes connected with the contractual relationship.
Information will not be treated as confidential where it:
is already publicly available;
becomes public without breach;
was already lawfully known;
is lawfully received from a third party;
is developed independently; or
must be disclosed by law, court order or regulatory authority.
The Provider may share confidential information with employees, contractors, professional advisers and service providers who need access to it and who are subject to appropriate confidentiality obligations.
26. Data protection
These Terms do not constitute or replace a Privacy Policy.
The processing of personal data relating to use of the Website will be explained in a separate Privacy Policy.
Where the Provider processes personal data on behalf of a Client, the respective roles, instructions, security obligations and processing terms may be set out in:
the Specific Agreement;
a data processing agreement;
a schedule; or
another written document.
The Client remains responsible for determining and complying with its own obligations as a controller of personal data relating to its:
customers;
prospects;
employees;
contractors;
website users; and
business contacts.
27. Acceptable use
The Website and Services must not be used to:
break the law;
gain unauthorised access;
introduce malware;
interfere with security;
disrupt availability;
scrape content without authorisation;
impersonate another person;
infringe intellectual property;
publish unlawful or defamatory material;
commit fraud;
exploit children or vulnerable persons;
promote unlawful violence;
harass others;
discriminate unlawfully;
manipulate reviews;
send unlawful unsolicited communications;
resell access without permission;
reverse engineer protected systems where prohibited;
copy proprietary configurations; or
harm the Provider, other users, systems or third parties.
The Provider may investigate suspected misuse and cooperate with regulatory, law enforcement or judicial authorities where legally required.
28. Availability, maintenance and changes
The Provider does not guarantee that the Website or Services will always be available, uninterrupted or error-free.
The Provider may carry out:
maintenance;
system updates;
bug fixes;
security updates;
infrastructure changes;
supplier changes;
feature changes; and
other work reasonably required to maintain the Services.
Where reasonably possible, the Provider will attempt to minimise disruption.
Functions may be modified or discontinued for technical, commercial, legal, security or third-party reasons.
29. Legal warranties
The Provider will perform the Services with reasonable care and skill.
Where consumer law applies, the Provider will respect all statutory guarantees and remedies that cannot lawfully be excluded.
Subject to those mandatory rights, the Provider does not guarantee that:
the Services will be suitable for a purpose not disclosed in advance;
the Services will operate with every platform or device;
every error will be prevented;
Third-Party Platforms will remain unchanged;
a particular business result will be achieved; or
a configuration will remain compatible indefinitely.
The Client must disclose any essential requirement before entering into the contract.
30. Limitation of liability
Nothing in these Terms excludes or limits liability for:
death or personal injury caused by negligence where liability cannot lawfully be excluded;
fraud;
fraudulent misrepresentation;
wilful unlawful conduct; or
any other liability that cannot lawfully be excluded or limited.
30.1 Business Clients
To the fullest extent permitted by law, the Provider will not be liable to a Business Client for any indirect, special, incidental or consequential loss.
The Provider will not be liable for loss of:
profit;
revenue;
sales;
anticipated savings;
business opportunity;
goodwill;
reputation;
contracts;
customers;
data; or
business continuity,
except where such loss is a direct and reasonably foreseeable consequence of the Provider’s breach and cannot lawfully be excluded.
Subject to liabilities that cannot be limited, the Provider’s total aggregate liability arising from or relating to a Specific Agreement will not exceed the total fees paid or payable to the Provider under the affected Specific Agreement during the 12 months immediately preceding the event giving rise to the claim.
Where the Specific Agreement has been in force for less than 12 months, the limit will be the total amount paid or payable during that shorter period.
30.2 Consumers
Where the Client is a Consumer, the Provider will be responsible for loss that is a reasonably foreseeable consequence of:
the Provider’s breach; or
failure to provide the Services with reasonable care and skill.
The Provider will not be responsible for commercial or business losses suffered by an individual who entered into the contract as a Consumer.
Nothing in these Terms limits mandatory Consumer rights.
30.3 Client and third-party causes
To the fullest extent permitted by law, the Provider will not be responsible for loss caused by:
inaccurate Client information;
Client Content;
the Client’s products or services;
unauthorised use of credentials;
Client or third-party modifications;
lack of backups;
third-party outages;
suspension of external accounts;
changes in law;
platform policy changes;
lack of marketing consent;
communications ordered by the Client;
Client delay;
malware introduced by third parties;
operator or carrier filtering; or
circumstances outside the Provider’s reasonable control.
31. Business Client indemnity
Where the Client is a Business Client, the Client will indemnify the Provider against reasonable third-party claims, losses and costs arising directly from:
infringing Client Content;
unlawful Client instructions;
communications made without the required consent;
the Client’s products or services;
misleading commercial claims;
breach of applicable law;
unauthorised use of personal data; or
material breach of these Terms.
This indemnity will not apply to the extent that the claim was caused by the Provider’s negligence or breach.
The Provider will provide reasonable notice of the claim and, where appropriate, allow the Client to participate in its defence.
This section will not apply to a Consumer to the extent that it would conflict with applicable consumer law.
32. Third-party links and content
The Website may include links, videos, maps, widgets, booking tools, payment tools or other third-party content.
The presence of third-party content does not mean that the Provider:
controls the third party;
guarantees the third party;
endorses every statement made by the third party; or
accepts responsibility for the third party’s terms or conduct.

34. Force majeure
Neither party will be responsible for delay or failure caused by circumstances outside its reasonable control.
These circumstances may include:
natural disasters;
war;
terrorism;
civil unrest;
epidemics;
pandemics;
internet outages;
electricity failures;
cyberattacks;
widespread supplier failures;
government action;
industrial disputes;
telecommunications outages;
transport disruption; or
unexpected regulatory changes.
The affected party must take reasonable steps to reduce the impact of the event.
35. Subcontracting and personnel
The Provider may use:
employees;
contractors;
consultants;
specialists;
subcontractors; and
Third-Party Platforms
to perform parts of the Services.
Subject to these Terms, the Provider will remain responsible for its contractual obligations.
Where personal data is processed, the applicable data protection arrangements will apply.
36. Assignment
The Client may not assign or transfer a Specific Agreement without the Provider’s prior written consent.
The Provider may assign or transfer a contract to:
an affiliated company;
a successor;
a purchaser of the relevant business; or
another entity taking over the relevant operations,
provided that this does not unlawfully reduce the Client’s mandatory rights.
37. Communications and notices
Routine communications may be made by:

Client portal;
CRM;
messaging platform;
telephone;
video call; or
another agreed method.
Formal legal notices should be sent to the relevant official address:

technical changes;
security requirements;
changes to the Services;
changes to Third-Party Platforms; or
business and operational requirements.
The updated version will be published with a revised “Last updated” date.
Changes will not retrospectively alter an existing Specific Agreement unless:
the Specific Agreement permits the change;
the change is required by law;
the change is reasonably required for security; or
the parties agree to the change.
Continued use of the Website after an update will constitute acceptance of the revised Terms for future use of the Website.
It will not replace any formal acceptance required to amend an existing signed contract.
39. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, it will be modified only to the minimum extent necessary or removed.
The remaining provisions will continue in full force.
40. Waiver

42. Third-party rights
Unless a Specific Agreement expressly states otherwise, a person who is not a party to the contract will not have the right to enforce it.
43. Governing law and jurisdiction
These Terms, use of the Website and any contractual or non-contractual dispute connected with them will be governed by the laws of Scotland, unless the applicable Specific Agreement validly provides otherwise.
Where the Client is a Business Client, the courts of Scotland will have exclusive jurisdiction, unless the parties agree otherwise in writing.
Where the Client is a Consumer, this choice of law will not remove any mandatory legal protection available under the law of the country in which the Consumer resides.
A Consumer may bring proceedings in any court made available to them under applicable consumer law.
International contracts will be governed by the laws of Scotland unless the parties expressly agree to a different governing law or jurisdiction in writing.

4. Prioridad del Contrato Específico
Los detalles particulares de cada relación comercial, incluidos el alcance, entregables, duración, cronograma, precio, impuestos, forma de pago, renovaciones, uso de plataformas, límites, revisiones, cancelaciones, reembolsos, propiedad intelectual y responsabilidades adicionales, se establecerán en el Contrato Específico aceptado por las partes.
En caso de conflicto, se aplicará el siguiente orden de prioridad:
el Contrato Específico;
cualquier declaración de trabajo o anexo expresamente incorporado;
estos Términos; y
la información general o promocional publicada en el Sitio Web.

estrategia de marketing digital;
generación, cualificación o gestión de prospectos;
publicidad y apoyo en campañas digitales;
diseño gráfico y producción de contenidos;
soluciones de inteligencia artificial;
sistemas digitales de ventas y atención al cliente;
alojamiento, mantenimiento y soporte técnico;
formación, documentación o consultoría;
productos, plantillas o recursos digitales; y
otros servicios acordados por escrito.
La inclusión de un servicio en esta lista no significa que forme parte de todos los contratos. El alcance definitivo será exclusivamente el establecido en el Contrato Específico.
6. Propuestas, demostraciones y contratación
Las descripciones, demostraciones, ejemplos y contenidos del Sitio Web tienen carácter general e informativo.
Una propuesta podrá estar sujeta a:

revisión del proyecto;

recepción de información y materiales;

7. Obligaciones del Cliente
El Cliente se compromete a:

designar una persona autorizada para tomar decisiones;
revisar y aprobar configuraciones, contenidos, diseños, guiones, flujos y entregables;
responder a solicitudes razonables dentro de cinco días hábiles, salvo que el Contrato Específico establezca otro plazo;
mantener copias de seguridad independientes de sus datos y contenidos;
utilizar los Servicios legalmente;
proteger sus credenciales y dispositivos;
informar inmediatamente sobre accesos no autorizados o incidentes de seguridad;
obtener los permisos, licencias, consentimientos y autorizaciones necesarios;
comprobar que sus comunicaciones, ofertas y actividades cumplen las leyes aplicables;
pagar directamente los costes que le correspondan; y
colaborar razonablemente con el Proveedor.
Los retrasos atribuibles al Cliente podrán modificar automáticamente las fechas estimadas. El Proveedor no será responsable por retrasos, errores o resultados derivados de información incompleta, instrucciones contradictorias, falta de respuesta, falta de accesos o aprobaciones tardías.
Cuando un proyecto permanezca inactivo debido al Cliente, el Proveedor podrá suspenderlo, reprogramarlo o aplicar las disposiciones de reactivación establecidas en el Contrato Específico.
8. Responsabilidad sobre contenidos, contactos y bases de datos
El Cliente declara y garantiza que tiene derecho a proporcionar y utilizar el Contenido del Cliente.
El Cliente será responsable de:
la exactitud y legalidad de sus contenidos;
sus afirmaciones comerciales;
sus precios, promociones y condiciones;
sus productos y servicios;
las licencias de imágenes, música, vídeos, fuentes y marcas;
la legalidad de sus bases de datos y listas de contactos;
los permisos para contactar a clientes o prospectos;
las preferencias de exclusión y listas de supresión;
el cumplimiento de las normas de publicidad y protección del consumidor;
el cumplimiento de las normas aplicables a correos, SMS y llamadas;
la información proporcionada por sus agentes, empleados o colaboradores; y
cualquier instrucción que proporcione al Proveedor.
El Cliente no deberá utilizar los Servicios para enviar spam, realizar comunicaciones engañosas, contactar personas sin una base legal adecuada, suplantar identidades, realizar prácticas discriminatorias o ejecutar actividades prohibidas.
9. Comunicaciones, llamadas, SMS y grabaciones
Cuando los Servicios incluyan llamadas, agentes de voz, mensajes, grabaciones, transcripciones, correos electrónicos o comunicaciones automatizadas, el Cliente será responsable de determinar y cumplir las leyes aplicables en los países donde se encuentren sus destinatarios.
Esto incluye, cuando corresponda:
obtener consentimiento para llamadas o mensajes;
respetar listas de “no llamar” o exclusión;
identificar correctamente al remitente;
proporcionar mecanismos de cancelación de suscripción;
informar cuando una llamada sea grabada o transcrita;
obtener los consentimientos exigidos;
limitar las comunicaciones a horarios permitidos;
conservar pruebas de consentimiento; y
evitar comunicaciones falsas, intimidatorias, engañosas o no solicitadas.
El Proveedor podrá ayudar técnicamente a configurar estos sistemas, pero no garantiza que una campaña, base de datos, guion o procedimiento propuesto por el Cliente cumpla las leyes de todas las jurisdicciones.
El Cliente deberá obtener asesoría jurídica independiente cuando sea necesario.
10. Inteligencia artificial y automatizaciones
Algunos Servicios podrán utilizar inteligencia artificial, aprendizaje automático, modelos de lenguaje, reconocimiento de voz, generación de contenido o decisiones automatizadas.
El Cliente reconoce que estos sistemas:
pueden cometer errores;
pueden interpretar incorrectamente una solicitud;
pueden generar información incompleta o inexacta;
pueden depender de servicios de terceros;
pueden experimentar interrupciones o cambios;
no garantizan respuestas idénticas;
requieren supervisión humana adecuada; y
no deben utilizarse como única fuente para decisiones críticas.
El Cliente deberá revisar y aprobar los guiones, preguntas frecuentes, bases de conocimiento, instrucciones, integraciones, condiciones de reserva y reglas del sistema antes de su publicación.
Los Servicios de inteligencia artificial no deberán utilizarse como sustituto de servicios de emergencia ni para proporcionar asesoría médica, jurídica, financiera u otra asesoría profesional regulada sin las medidas y autorizaciones correspondientes.
El Cliente conservará la responsabilidad por las decisiones comerciales tomadas a partir de resultados generados por inteligencia artificial.
11. Agentes de voz y atención automatizada
Los agentes de voz podrán responder preguntas, transferir llamadas, recopilar información, reservar citas, consultar disponibilidad o ejecutar otras acciones previamente configuradas.
No se garantiza que un agente:
comprenda correctamente todas las expresiones o acentos;
gestione satisfactoriamente todas las situaciones;
detecte todas las emergencias;
evite completamente errores de transcripción;
complete todas las llamadas;
logre una determinada tasa de conversión; o
esté disponible sin interrupciones.
El Cliente deberá proporcionar procedimientos claros para escalamiento, emergencias, transferencias, quejas y solicitudes sensibles.
Las decisiones finales sobre precios, diagnósticos, garantías, compromisos contractuales, asesoría profesional o situaciones de alto riesgo no deberán delegarse exclusivamente a un sistema automatizado.
12. Reseñas, reputación y posicionamiento
Los Servicios de gestión de reputación podrán facilitar la solicitud, recopilación o administración de opiniones, pero no garantizan:
que una persona publique una reseña;
que una reseña sea positiva;
que una plataforma mantenga publicada una reseña;
una cantidad determinada de reseñas;
una posición concreta en motores de búsqueda;
un aumento específico de ventas; ni
una clasificación determinada en Google u otra plataforma.
El Cliente no deberá utilizar los Servicios para publicar reseñas falsas, ocultar materialmente opiniones legítimas, manipular plataformas, hacerse pasar por clientes o incentivar reseñas de manera engañosa.
13. Resultados comerciales y de marketing
El Proveedor prestará los Servicios con el nivel de cuidado y habilidad razonablemente exigible, pero no garantiza resultados económicos específicos.
No garantizamos:
ingresos;
beneficios;
ventas;
clientes;
prospectos;
citas;
tasas de conversión;
retorno de inversión;
alcance;
posicionamiento;
aprobación de campañas;
entrega de correos o mensajes;
disponibilidad de números telefónicos;
verificaciones de plataformas; ni
continuidad de cuentas externas.
Los resultados pueden depender de factores fuera de nuestro control, incluidos el mercado, la competencia, la reputación del Cliente, su oferta, precios, disponibilidad, seguimiento comercial, ubicación, presupuesto, calidad de los materiales y políticas de terceros.
Los testimonios, casos, demostraciones y ejemplos muestran experiencias particulares y no constituyen promesas de resultados futuros.
14. Plataformas y servicios de terceros
Los Servicios pueden depender de Plataformas de Terceros, incluidos:
registros de dominio;
alojamiento;
CRM;
proveedores telefónicos;
operadores de telecomunicaciones;
mensajería SMS;
correo electrónico;
inteligencia artificial;
procesadores de pagos;
calendarios;
plataformas de publicidad;
redes sociales;
herramientas analíticas;
servicios de mapas;
videoconferencia;
integraciones y conectores.
Estas plataformas pueden imponer sus propios términos, verificaciones, políticas, precios, límites y restricciones.
El Proveedor no controla y no será responsable por:
interrupciones;
cambios de precios;
modificaciones de funciones;
rechazos de verificación;
suspensión o cierre de cuentas;
cambios de API;
pérdida de compatibilidad;
filtrado de comunicaciones;
políticas de operadores;
fallos de seguridad externos; o
decisiones tomadas por terceros.
Cuando una Plataforma de Terceros sea necesaria, el Cliente deberá aceptar sus términos y mantener su cuenta en buen estado.
Los costes de dominios, alojamiento, mensajes, minutos de voz, correos transaccionales, licencias, publicidad, procesamiento de pagos y demás servicios externos serán tratados según el Contrato Específico.
15. Cuentas, accesos y seguridad
El Cliente es responsable de mantener confidenciales sus credenciales y limitar el acceso a personas autorizadas.
El Cliente no deberá:
compartir contraseñas inseguramente;
permitir accesos no autorizados;
intentar acceder a cuentas de otros clientes;
alterar mecanismos de seguridad;
copiar configuraciones protegidas;
introducir malware;
realizar pruebas de penetración sin autorización; ni
utilizar el sistema de forma que perjudique a otros usuarios.
El Proveedor podrá suspender accesos cuando exista una sospecha razonable de fraude, uso ilegal, vulnerabilidad, incumplimiento, falta de pago o riesgo para la seguridad.
Salvo que se acuerde expresamente, la contratación de un servicio administrado no concede acceso administrativo completo a configuraciones internas, automatizaciones, flujos, prompts, herramientas, plantillas, cuentas maestras o infraestructura del Proveedor.
16. Aprobación y lanzamiento
El Cliente tendrá la obligación de revisar los entregables y señalar errores materiales dentro del plazo indicado.
La aprobación podrá producirse:
mediante confirmación escrita;
mediante aceptación electrónica;
mediante solicitud de publicación;
mediante uso del entregable; o
cuando transcurra el periodo de revisión establecido sin observaciones materiales.
Las solicitudes posteriores a la aprobación podrán considerarse cambios adicionales y tratarse según el Contrato Específico.
El Cliente deberá comprobar antes del lanzamiento sus datos de contacto, horarios, precios, enlaces, políticas, calendarios, formularios y demás información comercial.
17. Tarifas, facturación e impuestos
Las tarifas, moneda, calendario de pagos, fechas de vencimiento, impuestos, compromisos mínimos, renovaciones y métodos de pago se establecerán en el Contrato Específico.
El Cliente autoriza los cobros recurrentes únicamente cuando dicha autorización aparezca en el Contrato Específico o proceso de compra.
El Cliente deberá:
mantener un método de pago válido;
pagar las cantidades no disputadas a su vencimiento;
comunicar rápidamente errores de facturación;
pagar impuestos o cargos que le correspondan; y
mantener actualizados sus datos de facturación.
El Proveedor podrá suspender Servicios por pagos vencidos, sin que la suspensión elimine la obligación de pago.
Antes de iniciar un contracargo o disputa bancaria, el Cliente deberá contactar a [email protected] para permitir una revisión razonable del problema. Esta disposición no elimina ningún derecho legal del Cliente.
18. Cancelaciones, terminación y reembolsos
No existe una política universal de cancelación o reembolso aplicable a todos los Servicios.
Las condiciones relacionadas con:
cancelación;
periodos mínimos;
aviso previo;
renovación;
terminación anticipada;
reembolsos;
créditos;
pagos iniciales;
trabajos personalizados;
costes de terceros;
trabajos ya realizados; y
consecuencias de la terminación,
serán las establecidas en el Contrato Específico aceptado de mutuo acuerdo.
Las solicitudes de cancelación deberán enviarse por escrito a:
La solicitud deberá identificar suficientemente al Cliente, el Servicio y el contrato afectado.
La fecha efectiva de cancelación será la determinada por el Contrato Específico. Dejar de utilizar un Servicio, eliminar una tarjeta, cancelar una domiciliación o dejar de responder no constituye por sí solo una cancelación válida.
Cuando el Contrato Específico no contemple un reembolso, su concesión quedará a discreción del Proveedor, excepto cuando exista un derecho obligatorio conforme a la legislación aplicable.
Nada en estos Términos limita los derechos obligatorios de un Consumidor. Cuando un Consumidor tenga un derecho legal de cancelación, devolución, repetición del servicio o reducción de precio, ese derecho será respetado.
Cuando un Consumidor solicite expresamente que los Servicios comiencen durante un periodo legal de cancelación, podrá tener que pagar una cantidad proporcional por el trabajo ejecutado hasta la cancelación. Cuando la ley lo permita, el derecho de cancelación podrá finalizar después de la ejecución completa del servicio si el Consumidor dio previamente las autorizaciones y reconocimientos exigidos.
Los Clientes Empresariales no tendrán un derecho automático de desistimiento, salvo que el Contrato Específico o una ley obligatoria disponga lo contrario.
19. Suspensión y terminación por el Proveedor
El Proveedor podrá suspender o terminar un Servicio cuando:
exista falta de pago;
el Cliente incumpla materialmente el contrato;
exista fraude o sospecha razonable de fraude;
el Servicio se utilice ilegalmente;
exista riesgo de seguridad;
una Plataforma de Terceros exija la suspensión;
continuar pueda causar responsabilidad jurídica;
el Cliente proporcione contenido ilegal o infractor;
el Cliente abuse del personal o de otros usuarios; o
resulte imposible continuar por causas externas.
Cuando sea razonable, se notificará al Cliente y se le dará una oportunidad para corregir el incumplimiento. No será necesario otorgar un plazo cuando exista riesgo inmediato, actividad ilegal, fraude, amenaza de seguridad o incumplimiento grave.
Las consecuencias financieras, técnicas y operativas de la terminación serán las previstas en el Contrato Específico y en la legislación aplicable.
20. Datos, exportación y eliminación al terminar
La disponibilidad de exportaciones, copias, migraciones, transferencias de dominios, archivos, registros o datos dependerá del Contrato Específico, de las capacidades técnicas y de las políticas de las Plataformas de Terceros.
El Cliente deberá solicitar cualquier exportación antes de la terminación o dentro del plazo establecido.
Después de terminar el Servicio, los datos podrán ser eliminados, anonimizados, archivados o conservados durante el periodo necesario por razones legales, contables, de seguridad, resolución de disputas o cumplimiento contractual.
La eliminación de datos o accesos necesarios puede impedir que el Servicio continúe funcionando.
21. Propiedad intelectual del Cliente
El Cliente conservará los derechos que posea sobre su Contenido del Cliente.
El Cliente concede al Proveedor una licencia limitada, mundial, no exclusiva y durante el tiempo necesario para:
utilizar;
copiar;
adaptar;
alojar;
procesar;
transmitir;
mostrar; y
modificar técnicamente
el Contenido del Cliente exclusivamente para prestar, administrar, proteger o mejorar los Servicios contratados.
El Cliente garantiza que esta utilización no vulnerará derechos de terceros.
22. Propiedad intelectual del Proveedor
Salvo que un Contrato Específico establezca expresamente una cesión, el Proveedor conservará todos los derechos sobre:
metodologías;
procesos;
conocimientos;
estrategias;
software;
código preexistente;
estructuras;
bibliotecas;
componentes reutilizables;
plantillas;
automatizaciones;
flujos;
prompts;
documentación;
sistemas;
configuraciones;
diseños base;
materiales formativos;
herramientas internas; y
mejoras generales.
La entrega de un sitio web, sistema o configuración no implica la cesión automática de todos los elementos subyacentes.
La propiedad, licencia o derecho de uso sobre entregables personalizados se determinará en el Contrato Específico y podrá estar condicionado al pago completo.
Los componentes de terceros permanecerán sujetos a sus propias licencias.
Los resultados generados mediante inteligencia artificial pueden no ser exclusivos y otros sistemas podrían producir resultados similares.
23. Uso en portafolio
Salvo que exista un acuerdo de confidencialidad o una prohibición escrita, el Proveedor podrá mencionar públicamente el nombre comercial del Cliente y mostrar partes no confidenciales del trabajo en su portafolio, estudios de caso, presentaciones o materiales promocionales.
No se publicarán datos sensibles, credenciales, información confidencial, bases de datos privadas ni secretos comerciales.
El Cliente podrá solicitar por escrito que no se publique su proyecto antes de que el material sea divulgado.
24. Confidencialidad
Cada parte deberá proteger la información confidencial recibida de la otra y utilizarla únicamente para la relación contractual.
No se considerará confidencial la información que:
ya fuera pública;
se haga pública sin incumplimiento;
ya fuera conocida legítimamente;
sea recibida legalmente de un tercero;
sea desarrollada independientemente; o
deba divulgarse por obligación legal.
El Proveedor podrá compartir información con empleados, contratistas, asesores y proveedores que necesiten conocerla y estén sujetos a obligaciones apropiadas.
25. Protección de datos
Estos Términos no constituyen ni sustituyen una Política de Privacidad.
El tratamiento de datos personales relacionado con el Sitio Web se explicará en una Política de Privacidad separada.
Cuando el Proveedor procese datos personales por cuenta de un Cliente, las funciones, instrucciones, medidas y responsabilidades podrán establecerse en el Contrato Específico o en un acuerdo de tratamiento de datos.
El Cliente será responsable de determinar sus propias obligaciones como responsable del tratamiento respecto de sus clientes, prospectos, empleados y contactos.
26. Uso aceptable del Sitio Web y los Servicios
Está prohibido:
utilizar el Sitio Web ilegalmente;
intentar acceder sin autorización;
introducir virus o código malicioso;
interferir con la seguridad o disponibilidad;
copiar masivamente contenidos;
realizar scraping no autorizado;
hacerse pasar por otra persona;
infringir derechos de propiedad intelectual;
transmitir contenido difamatorio o ilegal;
utilizar los Servicios para fraude;
explotar menores;
promover violencia ilegal;
acosar o discriminar;
manipular reseñas;
realizar comunicaciones no solicitadas ilícitas;
revender accesos sin autorización;
descompilar o aplicar ingeniería inversa donde esté prohibido; o
utilizar el Servicio de forma que perjudique al Proveedor, sus sistemas o terceros.
Podremos investigar infracciones y cooperar con autoridades cuando exista una obligación legal.
27. Disponibilidad, mantenimiento y modificaciones
No garantizamos que el Sitio Web o los Servicios estén disponibles permanentemente, sin interrupciones o sin errores.
Podremos realizar:
mantenimiento;
actualizaciones;
correcciones;
cambios de infraestructura;
modificaciones de seguridad;
sustituciones de proveedores; y
ajustes necesarios para mantener la operación.
Cuando sea razonablemente posible, procuraremos reducir las interrupciones.
El Proveedor podrá modificar o descontinuar funciones cuando resulte necesario por razones técnicas, comerciales, regulatorias, de seguridad o relacionadas con terceros.
28. Garantías legales
Prestaremos los Servicios con cuidado y habilidad razonables.
Cuando se aplique la legislación de protección al consumidor, respetaremos las garantías y remedios obligatorios que no puedan excluirse.
Salvo por las garantías expresamente establecidas y en la máxima medida permitida, no garantizamos que:
los Servicios sean adecuados para un propósito no comunicado;
funcionen con todos los sistemas;
estén libres de errores;
ningún tercero cambie sus servicios;
se alcance un resultado comercial; ni
una configuración siga siendo compatible indefinidamente.
El Cliente deberá comunicar claramente cualquier requisito esencial antes de contratar.
29. Limitación de responsabilidad
Nada en estos Términos excluirá o limitará responsabilidad por:
muerte o lesiones personales causadas por negligencia cuando no pueda excluirse;
fraude;
declaración fraudulenta;
conducta deliberadamente ilícita; o
cualquier responsabilidad que legalmente no pueda limitarse.
29.1 Clientes Empresariales
En la máxima medida permitida, el Proveedor no será responsable frente a un Cliente Empresarial por pérdidas indirectas, especiales, incidentales o consecuenciales, ni por pérdida de:
beneficios;
ingresos;
ventas;
oportunidades;
ahorros previstos;
reputación;
contratos;
clientela;
datos; o
continuidad comercial,
cuando dichas pérdidas no constituyan una consecuencia directa y razonablemente previsible del incumplimiento.
Sujeto a las responsabilidades que no puedan limitarse, la responsabilidad total acumulada del Proveedor relacionada con un Contrato Específico no excederá el total de las tarifas efectivamente pagadas o pagaderas al Proveedor bajo el contrato afectado durante los doce meses inmediatamente anteriores al hecho que originó la reclamación.
Cuando el contrato haya durado menos de doce meses, el límite será el total pagado o pagadero durante ese periodo.
29.2 Consumidores
Cuando el Cliente sea un Consumidor, el Proveedor será responsable por pérdidas que sean una consecuencia razonablemente previsible de nuestro incumplimiento o falta de cuidado y habilidad razonables.
No seremos responsables por pérdidas comerciales sufridas por una persona que contrató como Consumidor.
Nada limitará los derechos obligatorios del Consumidor.
29.3 Exclusiones relacionadas con terceros y el Cliente
En la máxima medida permitida, el Proveedor no será responsable por pérdidas causadas por:
información incorrecta proporcionada por el Cliente;
contenido, productos o servicios del Cliente;
uso no autorizado de credenciales;
cambios realizados por el Cliente o terceros;
falta de copias de seguridad;
interrupciones de terceros;
suspensión de cuentas externas;
cambios en leyes o políticas;
falta de consentimiento para comunicaciones;
campañas ordenadas por el Cliente;
retrasos del Cliente;
malware introducido por terceros; o
circunstancias fuera del control razonable del Proveedor.
30. Indemnización para Clientes Empresariales
Cuando el Cliente actúe con fines empresariales, deberá indemnizar al Proveedor frente a reclamaciones razonables de terceros derivadas directamente de:
Contenido del Cliente infractor;
instrucciones ilegales;
comunicaciones sin consentimiento;
productos o servicios del Cliente;
afirmaciones engañosas;
incumplimiento de leyes aplicables;
uso no autorizado de datos; o
incumplimiento material de estos Términos.
Esta indemnización no se aplicará en la medida en que la reclamación haya sido causada por negligencia o incumplimiento del Proveedor.
El Proveedor informará razonablemente al Cliente sobre la reclamación y permitirá su participación en la defensa cuando corresponda.
Esta sección no se aplicará a un Consumidor en la medida en que resulte incompatible con la legislación aplicable.
31. Enlaces y contenidos de terceros
El Sitio Web puede contener enlaces, vídeos, mapas, herramientas, widgets o contenidos externos.
La presencia de un enlace no significa que controlemos, garanticemos o respaldemos al tercero.
El usuario será responsable de revisar los términos y políticas del sitio externo.
32. Quejas y resolución de problemas

33. Fuerza mayor
Ninguna parte será responsable por retrasos o incumplimientos causados por acontecimientos fuera de su control razonable, incluidos:
desastres naturales;
guerra;
terrorismo;
disturbios;
epidemias;
fallos de internet;
interrupciones eléctricas;
ciberataques externos;
fallos generalizados de proveedores;
actuaciones gubernamentales;
conflictos laborales;
interrupciones de telecomunicaciones; o
cambios regulatorios inesperados.
La parte afectada deberá tomar medidas razonables para reducir el impacto.
34. Subcontratación y personal
El Proveedor podrá utilizar empleados, especialistas, contratistas y proveedores para ejecutar partes de los Servicios.
El Proveedor continuará siendo responsable de sus obligaciones contractuales, sujeto a estos Términos.
Cuando se procesen datos personales, se aplicarán las disposiciones de protección de datos correspondientes.
35. Cesión
El Cliente no podrá ceder un Contrato Específico sin consentimiento escrito del Proveedor.
El Proveedor podrá ceder o transferir un contrato a una entidad afiliada, sucesora o adquirente, siempre que ello no reduzca materialmente los derechos obligatorios del Cliente.
36. Comunicaciones y notificaciones
Las comunicaciones ordinarias podrán realizarse por correo electrónico, portal, plataforma o medio acordado.

Una comunicación electrónica se considerará recibida cuando sea entregada al sistema del destinatario sin mensaje de error, salvo prueba en contrario.

37. Modificaciones de estos Términos
Podremos actualizar estos Términos para reflejar cambios legales, regulatorios, técnicos, comerciales o de nuestros Servicios.
La versión actualizada se publicará con una nueva fecha.
Los cambios no modificarán retroactivamente un Contrato Específico existente, salvo que:
el contrato lo permita;
sean necesarios por ley;
sean necesarios por razones de seguridad; o
las partes los acepten.
El uso continuado del Sitio Web después de una actualización implicará aceptación de los términos aplicables al uso futuro del Sitio Web, pero no sustituirá la aceptación necesaria para modificar un contrato firmado.
38. Divisibilidad
Si una disposición resulta inválida, ilegal o inaplicable, se modificará únicamente en la medida mínima necesaria o se separará del resto.

39. Renuncia

Cuando el Cliente sea un Cliente Empresarial, los tribunales de Escocia tendrán jurisdicción exclusiva, salvo acuerdo escrito en contrario.
Cuando el Cliente sea un Consumidor, esta elección de ley no eliminará las protecciones obligatorias que le correspondan en su lugar de residencia. El Consumidor podrá iniciar procedimientos en los tribunales que la legislación aplicable ponga a su disposición.
Los contratos internacionales se regirán por las leyes de Escocia, salvo que las partes acuerden expresamente otra jurisdicción por escrito.
